1. Definitions

•Hexalabs refers to Hexalabs AI Corporation, including its affiliates and subsidiaries.
•User refers to any individual or corporate entity that creates an account with Hexalabs, accesses, or uses the Service.
•Autonomous AI Action refers to any decision, operation, or transaction executed by the Service without direct, real-time human input from Hexalabs, based on parameters or goals set by the User.
•User Data refers to all data, information, files, and content, including input prompts and proprietary material, provided or uploaded by the User to the Service.
•Output refers to the results, reports, analysis, content, or code generated and provided by the Service in response to User inputs or Autonomous AI Actions.

•Eligibility: By using the Service, you represent that you are at least 18 years old and legally capable of entering into these binding Terms.
•Account Security: The User is responsible for maintaining the confidentiality of their account credentials and is fully responsible for all activities that occur under their account, including those initiated by the Autonomous AI Action feature.
•Authorized Use: The User agrees to use the Service solely for lawful purposes and in accordance with these Terms and any specific guidelines provided by Hexalabs.

•Ownership of User Data: The User retains all ownership rights to the User Data.
•
Data License: The User grants Hexalabs a worldwide, non-exclusive, royalty-free, transferable license to use, copy, modify, and process the User Data for the sole purposes of:
- a.Providing, maintaining, and improving the Service.
- b.Developing and training the underlying AI models (model improvement), unless the User explicitly opts out of model improvement features where available.
•Output Ownership: Subject to full compliance with these Terms, Hexalabs assigns to the User all its right, title, and interest in and to the Output generated by the Service for the User's account. This assignment does not extend to the underlying Hexalabs AI models or technology. *

•Parameter Setting: The User acknowledges that the effectiveness and reliability of the Autonomous AI Action feature are dependent on the accuracy and completeness of the parameters and objectives set by the User.
•User Liability: The User accepts full responsibility and liability for all decisions, consequences, and outcomes resulting from Autonomous AI Actions, including any financial, legal, or operational impacts.
•No Fiduciary Duty: Hexalabs is a technology provider and does not act as a financial advisor, legal counsel, or fiduciary. The Service's recommendations or actions are algorithmic and should not be relied upon as professional advice.
•Service Limitations: Hexalabs strives for high performance, but the User understands that the Service, being autonomous, may occasionally make errors, exhibit bias, or produce inaccurate results. The Service is provided "as is" without warranty of continuous, error-free operation.

•Termination by User: The User may terminate their account at any time. Upon termination, Hexalabs will delete or anonymize all User Data as soon as reasonably practicable, subject to any legal or regulatory retention requirements.
•Termination by Hexalabs: Hexalabs may terminate or suspend the User's access to the Service immediately, without prior notice or liability, for any reason, including without limitation if the User breaches the Terms or engages in activity that harms Hexalabs or other Users.
